Corporate Associate – Law Firm Emerging Business & Venture Capital Group

About the Role:

The ideal candidate will have 2-5 years of experience advising startups and emerging growth or later-stage companies on a variety of corporate matters, including:

• Entity formations and governance.
• Financings (e.g., convertible notes, SAFEs, priced seed and series preferred rounds).
• Venture capital and private equity transactions.
• Federal securities and state blue sky compliance.
• Joint ventures, spin-offs, M&A, and divestitures.
• Employment, consulting, and equity compensation matters.
• Other corporate matters commonly faced by venture-backed growth companies.
